Compensation & Leadership Solutions, LLC (CLS) is an independent professional services firm specializing in executive compensation, employee pay, short- and long-term incentives, board of directors compensation and associated leadership support services. Our consultants average over 25 years’ relevant experience.

We work in a wide variety of industries including engineering/technical/professional services, financial services, manufacturing and distribution, healthcare and general industry. In addition to serving publicly-held corporations, we also serve privately owned firms (including ESOPs and pre-IPO companies) and have an extensive practice with not-for-profit organizations.

Prior to highly successful consulting careers, our Senior Partners served as “internal” experts in top compensation/human resources positions with major corporations including Rockwell International, Martin Marietta, FINRA, T. Rowe Price, and the NASDAQ Stock Market. We believe the diversity of our experience, perspectives, and in-depth knowledge in our focus areas serve as a strong foundation for our advice.

Following stringent best practice and regulatory guidelines, we work directly with boards, compensation committees and, as appropriate, senior management to achieve optimal, customized solutions consistent with the business strategy, goals and specific needs of each client.

THOMAS G. CARDY, CCP, MLIR

Managing Partner and Founder

Tom has over 30 years experience in the development of executive and staff total rewards and performance management systems and programs. His expertise is in the areas of total compensation and strategic human resources.

He serves a broad array of clients in the review and development of executive and staff total rewards programs including base salary, short-term incentives, long-term incentives, employee benefits, and executive benefits/perquisites. His expertise also includes board of directors compensation and performance management systems and programs.

Prior to founding Compensation & Leadership Solutions, LLC (CLS), Tom worked with PRM Consulting Group at its Washington, D.C. headquarters where he was the top producing Principal. Previously, he served as Vice President, Human Resources with the NASDAQ Stock Market where he led the design, development and implementation of the corporation’s first-time human resources programs as a publicly-held corporation – including cash compensation, long-term incentives/equity, broad-based employee benefits, retirement programs, executive benefits and perquisites and supporting human resources information systems.

Earlier, he served in progressive compensation and general human resources leadership positions with the National Association of Securities Dealers (now FINRA), Contel Corporation’s Federal Systems Sector, Rockwell-Collins and the General Electric Company.

Tom has lectured on the topics of executive and staff compensation, employee and executive benefits and employment law while serving on the adjunct graduate faculty at Marymount University.

Tom holds a Master of Labor & Industrial Relations (MLIR) and a Bachelor of Arts with Honors from Michigan State University. He is a Certified Compensation Professional (CCP).

ANDREW C. GORESH, JD

Partner

Andrew has over 30 years consulting and senior human resources executive experience. His expertise is in the area of organizational and leadership development with particular focus on board of directors facilitations, coaching and mentoring, executive and employee retention, strategy development, performance management and cultural transformation.

For the past eight years, Andrew has served as Principal of Coaching for Transitions with significant proven successes assisting senior corporate executives and boards of directors in his areas of expertise. He has lectured and written in these areas and has received local and national recognition for his innovative programs.

Previously, Andrew served in top human resources executive positions with Fieldstone Investment Corporation and the National Association of Securities Dealers (now FINRA). Earlier he served in progressive senior Human Resources leadership roles with T. Rowe Price, most recently as Managing Director.

Andrew holds a J.D. from the Washington & Lee University School of Law and a Bachelor’s Degree in Psychology from The Ohio State University. He is also a graduate of the Advanced Management Program of the University of Pennsylvania’s Wharton School.

KAREN UHLIR-MARUCA, CCP, SPHR

Senior Consultant

Karen has over 20 years’ experience in the development and management of base pay plans, variable pay plans, market pricing/survey analysis, pay structure development, work/life benefits, performance management systems and processes, and compensation training and implementation.

Her experience spans both for-profit and not-for-profit organizations in a variety of industries. She was previously the Director of Compensation at the American Red Cross where she designed, developed and managed organization-wide compensation programs. She also held increasingly responsible compensation and human resources positions with BAE Systems, Telos Corporation and the National Rural Telecommunications Cooperative (NRTC).

Karen is an active committee member of the HRA-NCA Compensation Survey Report for the Washington-Baltimore Metropolitan Region, and previously served on the Dulles SHRM Board.

Karen holds a BS, in Business Administration, Human Resources Management from California State University, Long Beach. She is a Certified Compensation Professional (CCP) and Senior Professional in Human Resources (SPHR).

Compensation & Leadership Solutions, LLC maintains formal procedures to ensure the objectivity and independence of our advice to clients. All of our consultants are required to follow these policies so that the advice and counsel we provide are not compromised in any way, irrespective of the number of client relationships we might have or services we might provide to the general marketplace:

  • Our consultants are required to think and act independently. We are committed to providing unbiased analysis, advice and counsel.
  • We will notify our clients immediately of any potential conflicts of interest discovered during the course of our work.
  • To avoid the appearance or reality of conflicts, where we provide executive compensation services to a company’s compensation committee or board, we will not be involved in selling or providing potentially conflicting compensation services to company management.
  • Our peer review and other quality assurance processes are designed to ensure that our advice is appropriate and impartial. All significant pay recommendations are subject to independent peer review by a qualified senior compensation consultant.
  • We strive to be transparent regarding all of our business relationships with each client and allow for reasonable procedures to manage these relationships.
  • It is our policy that we work for the enterprise, not individuals. Our recommendations are shaped by what is appropriate for the organization as a whole.
  • Finally, we avoid accepting engagements where we do not believe our objective professional advice is being sought.
